Based on 21st Article of Shipbuilding Industry «Split», stock holders company, Statute in Split on 13th November 2006, bring the following: Code of business conduct.
Introduction
Article 1.
Code of business conduct includes the base lines and norms of conduct among with moral values, which are expected from every employee of all companies inside Brodosplit. The Code emphasizes the expectations of Company regarding business conduct of employees towards their work, organization, realization of their working commitments and perseverance and development of personality.
Article 2.
The purpose of this Code is acceptance, affirmation and incorporation of Code principles and creation of working environment in order every employee to conduct in coordination with ethnic, moral and professional norms as well as generally accepted civilization values. Following ethnic values one creates appropriate and responsible conduct which contributes to preserving of order, business reputation and assets of Company, what generally contributes to growth of development and professional reputation of Company.
Basic principles
Development
Article 3.
General working activity of Management and leading personnel of Brodosplit should primarily be focused on creation of strategic interest of Brodosplit, development of organizational structure and technology, working conditions, development of employees, implementation of ecological standards as well as continuative implementation of innovations.
Brodosplit reputation
Article 4.
All employees who have contacts with business partners, outer colleagues and with press, have to show loyalty and promotion of Brodosplit with their appearance. This is all in purpose of creating a positive image of Brodosplit as business – production system of international significance with all of his production and human potentials.
Quality assurance
Article 5.
When realizing strategically goals Management and leading personnel take care of work, products and services quality, following the planned deadlines, rational usage of working time, means and energy, following the procedures, legal and other acts and implementing adequate quality standards.
Team work and cooperation
Article 6.
Management and leading personnel of Brodosplit are responsible for keeping the business in regulation with valid laws and acts and for compliance with regulations and idea of Code in companies, organizational units or projects that they manage. They are obligated to encourage the ethnicity of their employees, to cultivate team work, enterprice and development of employees due to reaching the maximum results and increasing the efficiency and intellectual capacity of Brodosplit.
Liability
Article 7.
The Code is based on the principle of personal liability, as of Management and of other employees. Liability in respect to general operation, assets and working means is indivisible.
Attitude towards business and associates
Article 8.
The boundaries of responsibility and authorization of every employee is being determined by the employer and employees are obligated to respect the boundaries of responsibility and authorization, hierarchy and organizational structure.
Article 9.
Employees are obligated to show the principles of the Code in their everyday conduct and to bear the responsibility for their own actions, as well as palliation and toleration of unacceptable conduct of others.
Article 10.
Employees are expected to have proactive attitude towards work and self initiative in solving their engagement, all in contribution of mutual goals and development of the Company.
Article 11.
In working environment the conduct of employees should be based on mutual confidence, loyalty, correctness and respect of dignity of every individual. Employees are obligated to show correctness, cooperation and respect in their everyday communication with their associates and colleagues.
Article 12.
Stability in conduct, tolerance and flexibility are desirable characteristics that employees should always develop, together with their appropriate personal appearance.
Work safety, protection of health and environment care
Article 13.
The duty of management and all employees id to apply the measures of work protection, protecting that way themselves and others. Care of their own health and maintenance of psycho-physiological condition, as well as environment protection is also obligation of every employee of Brodosplit group. The accent is especially on direct obligation and care for ecology, tidiness and men’s environment esthetics, reduction, recycling and disposal of waste according to socially accepted ecological normative.
Unacceptable ways of conduct in working environment
Article 14.
Every alienation, embezzlement, damage or destruction of assets by irregular usage and neglectful attitude towards work, as well as unauthorized usage is strictly prohibited.
Confidential information and business secret
Article 15.
Data and information that are of exceptional importance for Company or Brodosplit group cannot be used, published or revealed without the authorization of persons in charge for such information.
Conflict of interests
Article 16.
Employees shouldn’t participate in financial or other activities that could damage the position, interest, reputation or welfare of Company, as well as in all situations where personal interest is in conflict with business interest. During working time and out of it, employees shouldn’t be involved with activities that could lead to disloyal competition or activities that could influence on one’s capability of making objective decisions.
Article 17.
Employees are not allowed to be members of Management or Supervision Boards of other companies without employer’s approval, neither to make business which are in same activity as employer (legal prohibition of match). It is also prohibited to work for companies that are owned by members of one’s closer family members and who have interests in Brodosplit.
Giving or receiving presents, i.e. services
Article 18.
Giving or receiving presents, i.e. services of greater value is not allowed. Present of historical or artistic significant can be accepted in benefit of Company assets.
Closing regulations
Article 19.
Conduct in accordance with upper stated principles and standards is personal and professional responsibility of every employee and it’s violation brings the consequence of responsibility which is being determined and evaluated by the Management of Company.
Article 20.
Code of business conduct is being brought by Management of Company and is applicable on all companies in Brodosplit group. Text of Code will be properly published on notice boards and in internal bulletin.
Article 21.
Code of business conduct alternates or updates the Management of Company.
Article 22.
Code of business conduct is effective staring from the day of its publication, and the implementation starts 8 days from the day of publication.
